ACCEPTANCE OF TERMS

Welcome to Pic Flow! By accessing or using our platform at https://picflow.com.br/, you agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our services.

These Terms of Service constitute a legal agreement between you (the “User”) and Walker - Research & Development, CNPJ 57.321.458/0001-60, located at R. Dr. Francisco Pati, 322 - Vila São Francisco (“Pic Flow”, “we”, “our”).

WHAT IS PIC FLOW

Pic Flow is a platform that allows you to create Energy Cards — digital cards with AI-generated art from videos or audio files. The service includes:

  • Video/audio upload and processing
  • AI content analysis (Gemini)
  • Automatic personalized visual art generation
  • Multilingual descriptions (PT, EN, ES)
  • Sharing via links, QR codes, and NFC tags
  • Social media integration

ELIGIBILITY

To use Pic Flow, you must:

  • Be at least 13 years old
  • Provide true and accurate information during registration
  • Have legal capacity to enter into binding contracts
  • Not be prohibited from using the service by any applicable law

Minors between 13 and 18 years old must have parental supervision.

ACCOUNT CREATION

Registration

To use Pic Flow, you must create an account by providing:

  • Valid email
  • Full name
  • Secure password (or authentication via Google OAuth)

Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities performed on your account
  • Notifying us immediately of unauthorized use

Do not share your account with third parties.

SERVICE DESCRIPTION

Energy Cards

Pic Flow allows you to create Energy Cards through the following process:

  1. Upload: You submit a video or audio file
  2. Processing: We generate a thumbnail from the first frame
  3. AI Analysis: Gemini analyzes the content and creates a prompt
  4. Art Generation: AI creates visual art based on the prompt
  5. Description: We generate automatic multilingual description
  6. Delivery: You receive the Energy Card ready to share

Processing Time

  • Estimated time: ~5 minutes per Energy Card
  • Best effort: We do not guarantee SLA for free plan
  • Variations: Time may vary depending on demand and complexity

Quality and Limitations

  • Art quality depends on the quality of the uploaded video/audio
  • Results may vary and are not guaranteed
  • You can regenerate if you don’t like the result (subject to limits)

PLANS AND USAGE LIMITS

Free Plan

  • 3 Energy Cards per month
  • Access to basic styles
  • Sharing via link, QR code, and NFC
  • No processing SLA
  • Basic analytics

Pay-as-you-go

  • Payment per Energy Card created
  • Price: to be defined and displayed on the platform
  • No monthly limit
  • Access to all styles
  • Processing priority

Partner Plan

  • Monthly subscription + commission on sales
  • Batch generation
  • Custom branding (logo, watermark)
  • Quick checkout for on-site sales
  • Financial transfer via Stripe
  • Advanced analytics

Business Plan (SMEs)

  • Subscription per seat
  • Multiple team members
  • Complete brand kit
  • API and webhooks
  • Processing SLA
  • Priority support

Limit Reset

  • Free plan limits reset on the first day of each month
  • Pay-as-you-go credits do not expire

USER CONTENT AND RIGHTS

Content Ownership

You retain all rights to:

  • Videos and audio you upload
  • Energy Cards generated from your content

License to Pic Flow

By submitting content, you grant Pic Flow a limited, non-exclusive, worldwide, royalty-free license to:

  • Process and analyze your content
  • Generate thumbnails, prompts, and art
  • Host and distribute Energy Cards according to your privacy settings
  • Use anonymized data for platform improvements

User Responsibility

You are responsible for ensuring you have:

  • Image rights: of all people appearing in the video
  • Copyright: of the submitted content (music, video, etc.)
  • Necessary authorizations: model releases, consents

You represent and warrant that:

  • You have all necessary rights to the submitted content
  • The content does not violate third-party rights
  • You have obtained consent from identifiable persons in the content

PROHIBITED CONTENT

It is strictly prohibited to upload or create Energy Cards with:

Illegal Content

  • Material that violates Brazilian or international laws
  • Content promoting illegal activities

Adult/NSFW Content

  • Nudity or sexually explicit content
  • Pornography or erotic material

Violence and Hate

  • Violent, gore, or shocking content
  • Hate speech, discrimination, or harassment
  • Threats or intimidation

Intellectual Property

  • Copyrighted material without authorization
  • Third-party trademarks without permission
  • Plagiarism or forgery

Spam and Abuse

  • Spam, phishing, or fraudulent schemes
  • Malware or malicious code
  • System manipulation or abuse

Impersonation

  • Pretending to be another person or entity
  • Fake or deceptive profiles

MODERATION AND ENFORCEMENT

Automatic Detection

We use automated systems to detect:

  • NSFW content
  • Toxic or offensive language
  • Copyright violations

Human Review

Borderline cases may be manually reviewed by our team.

Consequences of Violations

We may, at our discretion:

  • Remove content that violates these Terms
  • Suspend or terminate your account
  • Report illegal activities to authorities
  • Seek legal remedies

Appeals

If you believe an action was taken in error, you can appeal via adm@walker-di.com.br.

PAYMENTS AND BILLING

Payment Processing

All payments are processed via Stripe, which supports:

  • Pix
  • Credit card
  • Apple Pay
  • Google Pay

Pricing

  • Prices are displayed on the platform before purchase
  • Prices may change with 30 days’ notice
  • Applicable taxes will be added as required by law

Billing

  • Pay-as-you-go: charged immediately after Energy Card creation
  • Subscriptions: charged monthly on the subscription date
  • Partners: subscription + commission on sales

Refunds

We offer refunds in the following situations:

Processing Failure

  • If the Energy Card is not generated due to system error
  • Automatic credit or refund via Stripe

Quality Guarantee

  • If the result is technically defective (corrupted image, etc.)
  • Not applicable to subjective style preferences

Refund Policy

  • Request refund within 7 days via adm@walker-di.com.br
  • Case-by-case analysis
  • Refund processed within 10 business days

Chargebacks

Unwarranted chargebacks may result in:

  • Account suspension
  • Administrative fee charges
  • Legal action for value recovery

PARTNER-SPECIFIC TERMS

Eligibility

To become a Partner, you must:

  • Have valid CNPJ or CPF
  • Provide banking details for transfers
  • Agree to additional partnership terms

Commissions and Transfers

  • Commission structure: defined in partnership contract
  • Transfer: via Stripe, according to agreed schedule
  • Minimum amount: R$ 50.00 for withdrawal
  • Timeline: up to 15 days after period closing

Branding

Partners can:

  • Add logo and watermark to Energy Cards
  • Customize colors and styles
  • Use custom domain (higher plans)

Customer Data

Partners must:

  • Obtain explicit customer consent
  • Collect model releases when necessary
  • Comply with LGPD and data protection laws
  • Not use customer data for unauthorized purposes

Liability

Partners are responsible for:

  • Disputes with end customers
  • Quality of captured content
  • Legal compliance at events

SERVICE AVAILABILITY

Best Effort

  • We do not guarantee 100% uptime
  • Scheduled maintenance will be communicated in advance
  • Emergency interruptions may occur without notice

SLA (Business Plan)

Business plans include:

  • 99% monthly uptime
  • Priority support
  • Downtime compensation as per contract

Service Changes

We reserve the right to:

  • Modify features and functionality
  • Discontinue features with 30 days’ notice
  • Update art styles and AI models

THIRD-PARTY INTEGRATIONS

Pic Flow integrates with third-party services:

AI Services

  • Google Gemini: content analysis
  • Image generation services: art creation

Payments

  • Stripe: payment processing

Social Media

  • Instagram, LinkedIn, WhatsApp, YouTube, TikTok: sharing

Liability

  • We are not responsible for third-party service failures
  • Third-party terms apply to the use of their platforms
  • Changes in third-party APIs may affect functionality

INTELLECTUAL PROPERTY

Pic Flow Brand and Content

  • “Pic Flow” and logos are registered trademarks
  • All platform content (except user content) is protected by copyright
  • You may not use our brand without authorization

Feedback and Suggestions

By submitting feedback or suggestions:

  • You grant Pic Flow unlimited rights to use, modify, and implement
  • There is no obligation for compensation
  • There is no obligation for implementation

DISCLAIMERS

Service “As Is”

Pic Flow is provided “as is” and “as available”, without warranties of any kind.

We Do Not Guarantee

  • Specific results or quality of generated art
  • Uninterrupted or error-free availability
  • Fitness for specific purposes
  • Accuracy or reliability of AI-generated content

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid in the last 12 months
  • We are not liable for loss of data, profits, or opportunities

INDEMNIFICATION

You agree to indemnify and hold Pic Flow harmless from:

  • Your violations of these Terms
  • Third-party rights violations by your content
  • Unauthorized use of your account
  • Third-party claims related to your use of the service

TERMINATION

By You

You can terminate your account at any time through:

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • There is fraudulent or illegal activity
  • You fail to pay amounts due
  • At our discretion, for any reason, with 30 days’ notice

Effects of Termination

After termination:

  • Account access is immediately revoked
  • Energy Cards may be retained according to privacy settings
  • Personal data is deleted according to Privacy Policy
  • Payment obligations remain

CHANGES TO TERMS

We may modify these Terms at any time. Significant changes will be communicated via:

  • Email to registered users
  • Platform notification
  • Date update at the top of this document

Continued use after changes constitutes acceptance of the new terms.

DISPUTE RESOLUTION

Applicable Law

These Terms are governed by Brazilian laws.

Jurisdiction

Disputes will be resolved in the court of the company’s headquarters, unless otherwise provided by law.

Amicable Resolution

We encourage amicable resolution of disputes through:

  • Direct contact with support
  • Mediation, if necessary

GENERAL PROVISIONS

Entire Agreement

These Terms constitute the entire agreement between you and Pic Flow.

Severability

If any provision is deemed invalid, the others remain in effect.

Waiver

Failure to exercise rights does not constitute a waiver.

Assignment

You may not assign these Terms without our consent. We may assign at any time.

Notices

Notices will be sent via registered email or through the platform.
